This Vendor Agreement ("Agreement") is entered into between Bridal Trousseau, LLC d/b/a Wedding Realm ("Wedding Realm," "WR," "we," "us," or "our") and the vendor entity or individual registering for or using the Wedding Realm platform ("Vendor," "you," or "your").

By creating a vendor account, listing services, submitting proposals, or otherwise using the Platform, you agree to be bound by this Agreement.

 

1. INDEPENDENT CONTRACTOR STATUS

Vendor is an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, agency, or fiduciary relationship between Vendor and Wedding Realm.

Vendor has no authority to bind Wedding Realm.

 

2. VENDOR RESPONSIBILITIES

Vendor represents and warrants that:

• All information provided is accurate and up to date.
• Vendor holds all licenses, permits, and insurance required by law.
• Vendor will comply with all applicable federal, state, and local laws.
• Vendor has full rights to use all content uploaded to the Platform.
• Vendor services are performed safely and professionally.

Vendor is solely responsible for all services provided to couples.

 

3. NO GUARANTEE OF LEADS OR BOOKINGS

Wedding Realm does not guarantee:

• Lead volume
• Proposal acceptance
• Revenue
• Conversion rates
• Platform visibility

The Platform provides marketing exposure only.

 

4. PROPOSALS & AI CONTENT

Vendor acknowledges that Wedding Realm may use AI tools to modify, enhance, summarize, or reformat vendor descriptions, proposals, and other submitted content.

Vendor:

• Consents to AI modification
• Accepts responsibility for reviewing displayed content
• Remains liable for inaccuracies
• Agrees to indemnify Wedding Realm for AI-modified content claims

 

5. GOOGLE RATINGS & THIRD-PARTY DATA

Vendor acknowledges that Google ratings and review snippets may be displayed through Google API integrations.

Wedding Realm:

• Does not verify third-party review data
• Makes no guarantees regarding accuracy
• Is not responsible for misattributed reviews

Vendor must notify Wedding Realm promptly of inaccuracies.

 

6. FEES & PAYMENT TERMS

Vendor agrees to pay all applicable platform fees, commissions, listing fees, administrative fees, or other charges disclosed during onboarding.

Vendor authorizes Wedding Realm and its payment processors to charge Vendor's designated payment method for all fees.

All fees are non-refundable unless expressly stated in writing.

Wedding Realm reserves the right to modify pricing with advance notice.

 

7. CHARGEBACKS & PAYMENT DISPUTES

Vendor is solely responsible for:

• Refund obligations to couples
• Chargebacks
• Payment disputes
• Service-related complaints

If a payment processor reverses funds due to Vendor conduct, Vendor remains liable to Wedding Realm for associated losses or fees.

 

8. COUPLE RELATIONSHIPS

All vendor-couple contracts are solely between Vendor and the couple.

Wedding Realm:

• Is not a party to those contracts
• Does not supervise services
• Is not responsible for cancellations, disputes, damages, or performance failures

Vendor agrees not to represent itself as affiliated with or endorsed by Wedding Realm beyond Platform listing.

 

9. INSURANCE

Vendor represents that it maintains appropriate commercial general liability insurance consistent with industry standards.

Wedding Realm may request proof of insurance at any time.

 

10. INDEMNIFICATION

Vendor agrees to indemnify, defend, and hold harmless Wedding Realm and its owners, officers, employees, contractors, and affiliates from any claims, damages, losses, liabilities, or expenses (including attorneys' fees) arising out of:

• Vendor services
• Vendor negligence or misconduct
• Vendor breach of this Agreement
• Vendor content (including AI-modified content)
• Vendor violation of law
• Vendor disputes with couples

 

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

Wedding Realm shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages.

Total liability shall not exceed the greater of:

• Fees paid by Vendor to Wedding Realm in the preceding 12 months; or
• $250

 

12. TERMINATION

Wedding Realm may suspend or terminate Vendor access at any time for:

• Violation of this Agreement
• Fraud
• Misrepresentation
• Safety concerns
• Legal risk exposure

Upon termination, Vendor listings may be removed without liability.

 

13. GOVERNING LAW & ARBITRATION

This Agreement is governed by Connecticut law.

All disputes are subject to the arbitration and dispute resolution provisions contained in Wedding Realm's Terms & Conditions.

 

14. ENTIRE AGREEMENT

This Agreement, together with the Terms & Conditions and Privacy Policy, constitutes the entire agreement between Vendor and Wedding Realm.
